32 <P><B>2. This policy has been adopted by all accredited domain-name registrars
\r
33 for domain names ending in .com, .net, and .org. It has also been adopted
\r
34 by certain managers of country-code top-level domains (e.g., .nu, .tv,
\r
36 <P><B>3. The policy is between the registrar (or other registration authority
\r
37 in the case of a country-code top-level domain) and its customer (the
\r
38 domain-name holder or registrant). <FONT COLOR="#ff0000">Thus, the policy
\r
39 uses "we" and "our" to refer to the registrar and

40 it uses "you" and "your" to refer to the domain-name
\r
41 holder.</FONT></B></P>

46 <P align="center"><B><FONT SIZE="+1">Uniform Domain Name Dispute Resolution
\r
47 Policy</FONT></B></P>
\r
48 <P>(As Approved by ICANN on October 24, 1999)</P>
\r
49 <P><A NAME="1"></A><B>1. <U>Purpose</U>.</B><FONT
\r
50 FACE="Arial"> This Uniform Domain Name Dispute Resolution Policy (the "Policy")
\r
51 has been adopted by the Internet Corporation for Assigned Names and Numbers
\r
52 ("ICANN"), is incorporated by reference into your Registration
\r
53 Agreement, and sets forth the terms and conditions in connection with
\r
54 a dispute between you and any party other than us (the registrar) over
\r
55 the registration and use of an Internet domain name registered by you.
\r
56 Proceedings under <A HREF="#4">Paragraph 4</A> of this Policy will be
\r
57 conducted according to the Rules for Uniform Domain Name Dispute Resolution
\r
58 Policy (the "Rules of Procedure"), which are available at <A HREF="/dndr/udrp/uniform-rules.htm">www.icann.org/udrp/udrp-rules-24oct99.htm</A>,
\r
59 and the selected administrative-dispute-resolution service provider's
\r
60 supplemental rules.</FONT></P>
\r
61 <P><A NAME="2"></A><B>2. <U>Your Representations</U>.</B><FONT
\r
62 FACE="Arial"> By applying to register a domain name, or by asking us to
\r
63 maintain or renew a domain name registration, you hereby represent and
\r
64 warrant to us that (a) the statements that you made in your Registration
\r
65 Agreement are complete and accurate; (b) to your knowledge, the registration
\r
66 of the domain name will not infringe upon or otherwise violate the rights
\r
67 of any third party; (c) you are not registering the domain name for an
\r
68 unlawful purpose; and (d) you will not knowingly use the domain name in
\r
69 violation of any applicable laws or regulations. It is your responsibility
\r
70 to determine whether your domain name registration infringes or violates
\r
71 someone else's rights.</FONT></P>
\r
72 <P><A NAME="3"></A><B><FONT FACE="Arial">3. <U>Cancellations, Transfers,
\r
73 and Changes</U>.</FONT></B><FONT FACE="Arial"> We will cancel, transfer
\r
74 or otherwise make changes to domain name registrations under the following
\r
75 circumstances:</FONT></P>
\r
77 <P><A NAME="3a"></A>a. subject to the provisions of <A HREF="#8">Paragraph
\r
78 8</A>, our receipt of written or appropriate electronic instructions
\r
79 from you or your authorized agent to take such action;</P>
\r
80 <P><A NAME="3b"></A>b. our receipt of an order from a court or arbitral
\r
81 tribunal, in each case of competent jurisdiction, requiring such action;
\r
83 <P><A NAME="3c"></A><FONT FACE="Arial">c. our receipt of a decision of
\r
84 an Administrative Panel requiring such action in any administrative
\r
85 proceeding to which you were a party and which was conducted under this
\r
86 Policy or a later version of this Policy adopted by ICANN. (See <A HREF="#4i">Paragraph
\r
87 4(i)</A> and <A HREF="#4k">(k)</A> below.)</FONT></P>
\r
89 <P><A NAME="3End"></A><FONT FACE="Arial">We may also cancel, transfer or
\r
90 otherwise make changes to a domain name registration in accordance with
\r
91 the terms of your Registration Agreement or other legal requirements.</FONT></P>
\r
92 <P><A NAME="4"></A><B><FONT FACE="Arial">4. <U>Mandatory Administrative
\r
93 Proceeding</U>.</FONT></B></P>
\r
94 <P><FONT FACE="Arial">This Paragraph sets forth the type of disputes for
\r
95 which you are required to submit to a mandatory administrative proceeding.
\r
96 These proceedings will be conducted before one of the administrative-dispute-resolution
\r
97 service providers listed at <A HREF="/dndr/udrp/approved-providers.htm">www.icann.org/udrp/approved-providers.htm</A>
\r
98 (each, a "Provider").</FONT></P>
\r
100 <P><A NAME="4a"></A><B><FONT FACE="Arial">a. Applicable Disputes.</FONT></B><FONT
\r
101 FACE="Arial"> You are required to submit to a mandatory administrative
\r
102 proceeding in the event that a third party (a "complainant")
\r
103 asserts to the applicable Provider, in compliance with the Rules of
\r
104 Procedure, that</FONT></P>
\r
106 <P><A NAME="4ai"></A><FONT FACE="Arial">(i) your domain name is identical
\r
107 or confusingly similar to a trademark or service mark in which the
\r
108 complainant has rights; and</FONT></P>
\r
109 <P><A NAME="4aii"></A><FONT FACE="Arial">(ii) you have no rights or
\r
110 legitimate interests in respect of the domain name; and</FONT></P>
\r
111 <P><A NAME="4aiii"></A><FONT FACE="Arial">(iii) your domain name has
\r
112 been registered and is being used in bad faith.</FONT></P>
\r
114 <P><A NAME="4aEnd"></A><FONT FACE="Arial">In the administrative proceeding,
\r
115 the complainant must prove that each of these three elements are present.</FONT></P>
\r
116 <P><A NAME="4b"></A><B><FONT FACE="Arial">b. Evidence of Registration
\r
117 and Use in Bad Faith.</FONT></B><FONT FACE="Arial"> For the purposes
\r
118 of <A HREF="#4aiii">Paragraph 4(a)(iii)</A>, the following circumstances,
\r
119 in particular but without limitation, if found by the Panel to be present,
\r
120 shall be evidence of the registration and use of a domain name in bad
\r
123 <P><A NAME="4bi"></A><FONT FACE="Arial">(i) circumstances indicating
\r
124 that you have registered or you have acquired the domain name primarily
\r
125 for the purpose of selling, renting, or otherwise transferring the
\r
126 domain name registration to the complainant who is the owner of the
\r
127 trademark or service mark or to a competitor of that complainant,
\r
128 for valuable consideration in excess of your documented out-of-pocket
\r
129 costs directly related to the domain name; or</FONT></P>
\r
130 <P><A NAME="4bii"></A><FONT FACE="Arial">(ii) you have registered the
\r
131 domain name in order to prevent the owner of the trademark or service
\r
132 mark from reflecting the mark in a corresponding domain name, provided
\r
133 that you have engaged in a pattern of such conduct; or</FONT></P>
\r
134 <P><A NAME="4biii"></A><FONT FACE="Arial">(iii) you have registered
\r
135 the domain name primarily for the purpose of disrupting the business
\r
136 of a competitor; or</FONT></P>
\r
137 <P><A NAME="4biv"></A><FONT FACE="Arial">(iv) by using the domain name,
\r
138 you have intentionally attempted to attract, for commercial gain,
\r
139 Internet users to your web site or other on-line location, by creating
\r
140 a likelihood of confusion with the complainant's mark as to the source,
\r
141 sponsorship, affiliation, or endorsement of your web site or location
\r
142 or of a product or service on your web site or location.</FONT></P>
\r
144 <P><A NAME="4c"></A><B><FONT FACE="Arial">c. How to Demonstrate Your Rights
\r
145 to and Legitimate Interests in the Domain Name in Responding to a Complaint.</FONT></B><FONT FACE="Arial">
\r
146 When you receive a complaint, you should refer to <A HREF="/dndr/udrp/uniform-rules.htm#5">Paragraph
\r
147 5</A> of the Rules of Procedure in determining how your response should
\r
148 be prepared. Any of the following circumstances, in particular but without
\r
149 limitation, if found by the Panel to be proved based on its evaluation
\r
150 of all evidence presented, shall demonstrate your rights or legitimate
\r
151 interests to the domain name for purposes of <A HREF="#4aii">Paragraph
\r
152 4(a)(ii)</A>:</FONT></P>
\r
154 <P><A NAME="4ci"></A><FONT FACE="Arial">(i) before any notice to you
\r
155 of the dispute, your use of, or demonstrable preparations to use,
\r
156 the domain name or a name corresponding to the domain name in connection
\r
157 with a bona fide offering of goods or services; or</FONT></P>
\r
158 <P><A NAME="4cii"></A><FONT FACE="Arial">(ii) you (as an individual,
\r
159 business, or other organization) have been commonly known by the domain
\r
160 name, even if you have acquired no trademark or service mark rights;
\r
162 <P><A NAME="4ciii"></A><FONT FACE="Arial">(iii) you are making a legitimate
\r
163 noncommercial or fair use of the domain name, without intent for commercial
\r
164 gain to misleadingly divert consumers or to tarnish the trademark
\r
165 or service mark at issue.</FONT></P>
\r
167 <P><A NAME="4d"></A><B><FONT FACE="Arial">d. Selection of Provider.</FONT></B><FONT
\r
168 FACE="Arial"> The complainant shall select the Provider from among those
\r
169 approved by ICANN by submitting the complaint to that Provider. The
\r
170 selected Provider will administer the proceeding, except in cases of
\r
171 consolidation as described in <A HREF="#4f">Paragraph 4(f)</A>.</FONT></P>
\r
172 <P><A NAME="4e"></A><B><FONT FACE="Arial">e. Initiation of Proceeding
\r
173 and Process and Appointment of Administrative Panel.</FONT></B><FONT
\r
174 FACE="Arial"> The Rules of Procedure state the process for initiating
\r
175 and conducting a proceeding and for appointing the panel that will decide
\r
176 the dispute (the "Administrative Panel").</FONT></P>
\r
177 <P><A NAME="4f"></A><B><FONT FACE="Arial">f. Consolidation.</FONT></B><FONT
\r
178 FACE="Arial"> In the event of multiple disputes between you and a complainant,
\r
179 either you or the complainant may petition to consolidate the disputes
\r
180 before a single Administrative Panel. This petition shall be made to
\r
181 the first Administrative Panel appointed to hear a pending dispute between
\r
182 the parties. This Administrative Panel may consolidate before it any
\r
183 or all such disputes in its sole discretion, provided that the disputes
\r
184 being consolidated are governed by this Policy or a later version of
\r
185 this Policy adopted by ICANN.</FONT></P>
\r
186 <P><A NAME="4g"></A><B><FONT FACE="Arial">g. Fees.</FONT></B><FONT
\r
187 FACE="Arial"> All fees charged by a Provider in connection with any dispute
\r
188 before an Administrative Panel pursuant to this Policy shall be paid
\r
189 by the complainant, except in cases where you elect to expand the Administrative
\r
190 Panel from one to three panelists as provided in <A HREF="/dndr/udrp/uniform-rules.htm#5biv">Paragraph
\r
191 5(b)(iv)</A> of the Rules of Procedure, in which case all fees will
\r
192 be split evenly by you and the complainant.</FONT></P>
\r
193 <P><A NAME="4h"></A><B><FONT FACE="Arial">h. Our Involvement in Administrative
\r
194 Proceedings.</FONT></B><FONT FACE="Arial"> We do not, and will not,
\r
195 participate in the administration or conduct of any proceeding before
\r
196 an Administrative Panel. In addition, we will not be liable as a result
\r
197 of any decisions rendered by the Administrative Panel.</FONT></P>
\r
198 <P><A NAME="4i"></A><B><FONT FACE="Arial">i. Remedies.</FONT></B><FONT
\r
199 FACE="Arial"> The remedies available to a complainant pursuant to any
\r
200 proceeding before an Administrative Panel shall be limited to requiring
\r
201 the cancellation of your domain name or the transfer of your domain
\r
202 name registration to the complainant.</FONT></P>
\r
203 <P><A NAME="4j"></A><B><FONT FACE="Arial">j. Notification and Publication.</FONT></B><FONT FACE="Arial">
\r
204 The Provider shall notify us of any decision made by an Administrative
\r
205 Panel with respect to a domain name you have registered with us. All
\r
206 decisions under this Policy will be published in full over the Internet,
\r
207 except when an Administrative Panel determines in an exceptional case
\r
208 to redact portions of its decision.</FONT></P>
\r
209 <P><A NAME="4k"></A><B><FONT FACE="Arial">k. Availability of Court Proceedings.</FONT></B><FONT FACE="Arial">
\r
210 The mandatory administrative proceeding requirements set forth in <A HREF="#4">Paragraph
\r
211 4</A> shall not prevent either you or the complainant from submitting
\r
212 the dispute to a court of competent jurisdiction for independent resolution
\r
213 before such mandatory administrative proceeding is commenced or after
\r
214 such proceeding is concluded. If an Administrative Panel decides that
\r
215 your domain name registration should be canceled or transferred, we
\r
216 will wait ten (10) business days (as observed in the location of our
\r
217 principal office) after we are informed by the applicable Provider of
\r
218 the Administrative Panel's decision before implementing that decision.
\r
219 We will then implement the decision unless we have received from you
\r
220 during that ten (10) business day period official documentation (such
\r
221 as a copy of a complaint, file-stamped by the clerk of the court) that
\r
222 you have commenced a lawsuit against the complainant in a jurisdiction
\r
223 to which the complainant has submitted under <A HREF="/dndr/udrp/uniform-rules.htm#3bxiii">Paragraph
\r
224 3(b)(xiii)</A> of the Rules of Procedure. (In general, that jurisdiction
\r
225 is either the location of our principal office or of your address as
\r
226 shown in our Whois database. See <A HREF="/dndr/udrp/uniform-rules.htm#1MutualJurisdiction">Paragraphs
\r
227 1</A> and <A HREF="/dndr/udrp/uniform-rules.htm#3bxiii">3(b)(xiii)</A>
\r
228 of the Rules of Procedure for details.) If we receive such documentation
\r
229 within the ten (10) business day period, we will not implement the Administrative
\r
230 Panel's decision, and we will take no further action, until we receive
\r
231 (i) evidence satisfactory to us of a resolution between the parties;
\r
232 (ii) evidence satisfactory to us that your lawsuit has been dismissed
\r
233 or withdrawn; or (iii) a copy of an order from such court dismissing
\r
234 your lawsuit or ordering that you do not have the right to continue
\r
235 to use your domain name.</FONT></P>
\r
237 <P><A NAME="5"></A><B><FONT FACE="Arial">5. <U>All Other Disputes and Litigation</U>.</FONT></B><FONT FACE="Arial">
\r
238 All other disputes between you and any party other than us regarding your
\r
239 domain name registration that are not brought pursuant to the mandatory
\r
240 administrative proceeding provisions of <A HREF="#4">Paragraph 4</A> shall
\r
241 be resolved between you and such other party through any court, arbitration
\r
242 or other proceeding that may be available.</FONT></P>
\r
243 <P><A NAME="6"></A><B><FONT FACE="Arial">6. <U>Our Involvement in Disputes</U>.</FONT></B><FONT FACE="Arial">
\r
244 We will not participate in any way in any dispute between you and any
\r
245 party other than us regarding the registration and use of your domain
\r
246 name. You shall not name us as a party or otherwise include us in any
\r
247 such proceeding. In the event that we are named as a party in any such
\r
248 proceeding, we reserve the right to raise any and all defenses deemed
\r
249 appropriate, and to take any other action necessary to defend ourselves.</FONT></P>
\r
250 <P><A NAME="7"></A><B><FONT FACE="Arial">7. <U>Maintaining the Status Quo</U>.</FONT></B><FONT FACE="Arial">
\r
251 We will not cancel, transfer, activate, deactivate, or otherwise change
\r
252 the status of any domain name registration under this Policy except as
\r
253 provided in <A HREF="#3">Paragraph 3</A> above.</FONT></P>
\r
254 <P><A NAME="8"></A><B><FONT FACE="Arial">8. <U>Transfers During a Dispute</U>.</FONT></B></P>
\r
256 <P><A NAME="8a"></A><B><FONT FACE="Arial">a. Transfers of a Domain Name
\r
257 to a New Holder.</FONT></B><FONT FACE="Arial"> You may not transfer
\r
258 your domain name registration to another holder (i) during a pending
\r
259 administrative proceeding brought pursuant to <A HREF="#4">Paragraph
\r
260 4</A> or for a period of fifteen (15) business days (as observed in
\r
261 the location of our principal place of business) after such proceeding
\r
262 is concluded; or (ii) during a pending court proceeding or arbitration
\r
263 commenced regarding your domain name unless the party to whom the domain
\r
264 name registration is being transferred agrees, in writing, to be bound
\r
265 by the decision of the court or arbitrator. We reserve the right to
\r
266 cancel any transfer of a domain name registration to another holder
\r
267 that is made in violation of this subparagraph.</FONT></P>
\r
268 <P><A NAME="8b"></A><B><FONT FACE="Arial">b. Changing Registrars.</FONT></B><FONT
\r
269 FACE="Arial"> You may not transfer your domain name registration to another
\r
270 registrar during a pending administrative proceeding brought pursuant
\r
271 to <A HREF="#4">Paragraph 4</A> or for a period of fifteen (15) business
\r
272 days (as observed in the location of our principal place of business)
\r
273 after such proceeding is concluded. You may transfer administration
\r
274 of your domain name registration to another registrar during a pending
\r
275 court action or arbitration, provided that the domain name you have
\r
276 registered with us shall continue to be subject to the proceedings commenced
\r
277 against you in accordance with the terms of this Policy. In the event
\r
278 that you transfer a domain name registration to us during the pendency
\r
279 of a court action or arbitration, such dispute shall remain subject
\r
280 to the domain name dispute policy of the registrar from which the domain
\r
281 name registration was transferred.</FONT></P>
\r
283 <P><A NAME="9"></A><B><FONT FACE="Arial">9. <U>Policy Modifications</U>.</FONT></B><FONT
\r
284 FACE="Arial"> We reserve the right to modify this Policy at any time with
\r
285 the permission of ICANN. We will post our revised Policy at <URL>
\r
286 at least thirty (30) calendar days before it becomes effective. Unless
\r
287 this Policy has already been invoked by the submission of a complaint
\r
288 to a Provider, in which event the version of the Policy in effect at the
\r
289 time it was invoked will apply to you until the dispute is over, all such
\r
290 changes will be binding upon you with respect to any domain name registration
\r
291 dispute, whether the dispute arose before, on or after the effective date
\r
292 of our change. In the event that you object to a change in this Policy,
\r
293 your sole remedy is to cancel your domain name registration with us, provided
\r
294 that you will not be entitled to a refund of any fees you paid to us.
\r
295 The revised Policy will apply to you until you cancel your domain name
\r
296 registration.</FONT></P>
